1. About Connex Technology
Connex Technology provides AI staffing, AI implementation, technology consulting, and related professional services to businesses and organizations globally.
Connex trains and deploys execution-ready AI Implementation Engineers, including talent based in Africa, to work within client teams and workflows. Our services may include identifying operational inefficiencies, implementing artificial intelligence solutions, automating manual processes, integrating software and business systems, developing or deploying AI-enabled solutions, providing technical talent, and supporting ongoing technology initiatives.
Our services may be provided remotely, on-site, through dedicated personnel, through project-based engagements, or through other arrangements agreed upon with a client.
2. Eligibility and Business Use
Our services are primarily intended for businesses, organizations, and other professional users.
By using our website or services, you represent that:

You are legally capable of entering into a binding agreement;

You have authority to act on behalf of any organization you represent;

The information you provide to Connex is accurate and complete; and

Your use of our website and services complies with applicable laws and regulations.
If you access our website on behalf of a company or organization, these Terms apply to you and the organization you represent.
3. Services
Connex may provide services including, but not limited to:

Software and system integrations;

AI application development and deployment;

Other services mutually agreed upon between Connex and its clients.
The specific scope, fees, deliverables, timelines, staffing arrangements, intellectual property rights, confidentiality obligations, service levels, and other commercial terms for a particular engagement may be established in a separate proposal, statement of work, service agreement, master services agreement, staffing agreement, or other written agreement.
If there is a conflict between these Terms and a separately executed written agreement between Connex and a client, the applicable written agreement will control with respect to that engagement.
4. No Guarantee of Business Results
Connex will use commercially reasonable efforts to provide professional services and qualified personnel appropriate to the applicable engagement.
However, Connex does not guarantee that the implementation of AI, automation, software, technology, or personnel will produce a particular business outcome, revenue increase, cost reduction, productivity improvement, return on investment, or other financial or operational result.
AI and technology outcomes may depend on factors outside Connex’s control, including the client’s systems, data, personnel, processes, infrastructure, third-party software, implementation decisions, market conditions, and other circumstances.
Any examples, case studies, projections, estimates, or statements regarding potential results are illustrative and should not be interpreted as guarantees.
5. Client Responsibilities
Clients are responsible for providing Connex with reasonable access to the information, systems, personnel, software, credentials, data, facilities, and other resources necessary to perform the applicable services.
Clients are responsible for:

Providing accurate and timely information;

Maintaining appropriate backups of their systems and data;
-
Maintaining appropriate security controls and access permissions;
-
Obtaining all necessary licenses and permissions for systems and data provided to Connex;
-
Reviewing and approving AI-generated or automated outputs before relying upon them where appropriate;
-
Ensuring that their use of Connex services complies with applicable laws and regulations; and
-
Providing timely feedback, decisions, approvals, and other cooperation reasonably required for the engagement.
Connex is not responsible for delays, failures, or performance issues caused by inaccurate information, unavailable systems, client delays, third-party services, or circumstances outside Connex’s reasonable control.
6. AI and Automated Technology
Connex may use artificial intelligence, machine learning, automation, software integrations, and other technology in providing services.
AI-generated or automated outputs may contain errors, inaccuracies, omissions, or unexpected results. Clients are responsible for reviewing and validating outputs before using them in business-critical, financial, legal, employment, medical, safety-related, or other high-impact decisions.
Unless expressly agreed otherwise in writing, Connex does not provide legal, medical, financial, tax, regulatory, or other professional advice through its AI or technology solutions.
Clients remain responsible for determining whether an AI solution is appropriate for their specific use case and for implementing appropriate human oversight.
7. Third-Party Services and Integrations
Connex may integrate or interact with third-party software, platforms, applications, APIs, cloud services, data providers, communication platforms, and other technologies.
Connex does not control third-party services and is not responsible for their availability, functionality, security, policies, pricing, changes, or performance.
A client’s use of third-party services may also be subject to the applicable third party’s separate terms, licenses, and privacy policies.
8. Staffing and Personnel
Where Connex provides personnel, contractors, engineers, consultants, or other professionals, the applicable staffing or service agreement will govern the specific relationship, responsibilities, compensation, engagement structure, replacement terms, and other applicable conditions.
Connex may make reasonable efforts to identify and provide personnel whose skills and experience are appropriate for a client’s requirements. However, Connex does not guarantee the continued availability of any particular individual unless expressly agreed in writing.
Unless otherwise agreed in writing, Connex retains discretion regarding the recruitment, training, assignment, supervision, replacement, and management of personnel it provides.
9. International Services and Personnel
Connex may provide services and personnel across international borders, including through professionals located in Africa and other regions.
Clients acknowledge that international engagements may involve different employment, contractor, tax, immigration, labor, data protection, intellectual property, and regulatory requirements.
Unless expressly agreed in writing, each party is responsible for complying with the laws and regulations applicable to its own activities and responsibilities.
Connex does not provide immigration, tax, legal, or employment-law advice.
10. Fees and Payment
Fees for Connex services will be established in the applicable proposal, order form, statement of work, service agreement, staffing agreement, or other written commercial agreement.
Unless otherwise agreed in writing:

Fees are due according to the payment schedule established for the applicable engagement;

Client payment obligations are not dependent upon the client’s receipt of payment from its own customers;

Applicable taxes, governmental charges, or other required fees may be added where applicable; and
-
Late payments may be subject to reasonable interest, collection costs, or suspension of services to the extent permitted by applicable law.
11. Intellectual Property
Unless otherwise specified in a separate written agreement, Connex retains all rights, title, and interest in its pre-existing intellectual property, proprietary technology, methodologies, processes, frameworks, templates, training materials, software, know-how, tools, and other materials developed independently of a client engagement.
Ownership of specifically developed deliverables will be governed by the applicable written agreement.
Nothing in these Terms transfers ownership of Connex’s pre-existing intellectual property unless expressly stated in writing.
12. Client Materials and Data
Clients retain ownership of materials, information, data, systems, trademarks, content, and other intellectual property they provide to Connex (“Client Materials”).
The client grants Connex a limited right to access, use, reproduce, modify, transmit, and process Client Materials to the extent reasonably necessary to provide the contracted services.
Clients represent that they have all necessary rights and permissions to provide Client Materials to Connex and authorize Connex to use them for the applicable engagement.
13. Confidentiality
Each party may receive confidential or proprietary information belonging to the other party.
Each party agrees to use reasonable measures to protect confidential information and to use such information only for legitimate purposes related to the applicable business relationship.
Confidentiality obligations may be further governed by a separate nondisclosure agreement, master services agreement, statement of work, or other written agreement.
14. Data Protection and Privacy
Connex may collect and process personal information in connection with website visitors, prospective clients, clients, personnel, applicants, and other individuals.
Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, as applicable.
By using our website or services, you acknowledge that you have reviewed our Privacy Policy.
Where required by applicable law, Connex will implement appropriate contractual, technical, and organizational measures relating to personal information and data processed in connection with its services.
15. Marketing Communications
By submitting your information through our website, contacting Connex, requesting information, or otherwise interacting with us, you may receive communications relating to your inquiry, services, account, or business relationship.
Where Connex requests separate consent to receive marketing communications, you may choose whether to provide that consent.
Marketing communications may include information about Connex services, AI staffing, consulting, technology solutions, events, resources, offers, and other business-related information.

Where Connex provides a separate consent mechanism for SMS messages or marketing telephone calls, you may choose whether to provide consent.
By checking an applicable SMS or telephone consent checkbox and submitting your telephone number, you may expressly authorize Connex, where legally required, to contact you at the number provided regarding Connex services, offers, updates, appointments, or other business communications.
Depending on the consent provided, communications may include calls, text messages, and, where legally permitted and appropriately consented to, automated or prerecorded communications.
Consent is not a condition of purchasing any Connex product or service.
Message and data rates may apply depending on your mobile carrier and plan.
You may withdraw SMS consent at any time by replying STOP to a marketing text message or by contacting Connex through the contact information provided on our website. You may also request to stop telephone marketing communications by contacting Connex.
Consent to receive marketing communications is separate from consent necessary for Connex to provide transactional, account-related, or service-related communications.

Specific services may be subject to warranties or service commitments expressly established in a separate written agreement.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Connex and its officers, directors, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of data, or business interruption arising from or relating to the use of the website or services.
To the maximum extent permitted by applicable law, Connex’s aggregate liability arising out of or relating to a particular service engagement will not exceed the amount actually paid to Connex by the client for the specific services giving rise to the claim during the applicable period specified in the governing written agreement.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
22. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Connex Technology and its officers, directors, employees, contractors, affiliates, and representatives from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

Your violation of these Terms;

Your misuse of the website or services;

Your violation of applicable law;
-
Your infringement or violation of another party’s intellectual property, privacy, or other rights; or

Materials, data, systems, or information provided by you to Connex that result in a third-party claim.
This provision does not apply to the extent that a claim results from Connex’s own gross negligence, willful misconduct, or other conduct that cannot legally be indemnified.
23. Force Majeure
Connex will not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, epidemics or pandemics, telecommunications or internet failures, power outages, cyber incidents, third-party service failures, or other events beyond Connex’s reasonable control.
24. Suspension and Termination
Connex may suspend or terminate access to its website or services where reasonably necessary due to:

Termination of an engagement does not eliminate obligations that by their nature should survive termination, including confidentiality, intellectual property, payment, limitations of liability, indemnification, and dispute-related provisions.

Connex may update these Terms from time to time.
When changes are made, Connex may update the “Last Updated” date above. Continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
Material changes to contractual terms applicable to existing clients will be handled in accordance with the applicable written agreement.
26. Governing Law
These Terms will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, unless otherwise required by applicable law or established in a separate written agreement.
Any dispute arising from these Terms will be subject to the jurisdiction and venue specified in the applicable written agreement or, if no separate agreement applies, the appropriate courts located in New Castle County, Delaware to the extent permitted by law.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
28. No Waiver
Failure by Connex to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.
29. Entire Agreement
These Terms, together with any applicable Privacy Policy, SMS/Marketing Consent Terms, service agreements, statements of work, proposals, orders, and other written agreements, constitute the applicable agreement between you and Connex regarding the subject matter addressed herein.
